Introduction without NDA
Successful business relies on sound transactions and decisions. These should be well-considered, and ideally, involve only risks that are consciously acknowledged and chosen, rather than those that surface unexpectedly later.
My name is Viktorija Čerkasa, I am a sworn attorney-at-law, a partner at RockBridge Legal law firm, and Head of the Transactions Team. In over twenty years of legal practice at law firms of various sizes, I have been present where money changes hands and parties have different roles and interests – in M&A transactions, corporate decisions, commercial contracts, energy projects, and real estate deals. I have seen how ideally structured and clear transactions fall apart at the last minute or lead to conflicts, and how others, whose completion no one expected, turned out perfectly. The difference was determined not by the number of lawyers or the transaction structure, but by how well the parties involved understood what they were signing.
It is time to share practical insights to help you make informed decisions. This blog is intended for business owners and managers who seek practical legal perspectives as a tool for decision-making. Legal awareness does not replace a lawyer, just as medical awareness does not replace a doctor. However, it allows you to ask the right questions, make more informed decisions, recognize risks before they become problems, and, just as importantly, understand when and why professional assistance is needed.
The range of topics will be broad, as the legal life of business is extensive. From corporate governance and the mechanics of M&A transactions to the liability of board members, which in real life is much more specific and personal than most managers realize. We will cover the rights and obligations of company owners, as both aspects are equally important and often equally full of surprises. And we will delve into daily business life: transactions, commercial contracts, and risks that appear to be mere formalities until they no longer are.
A special place in this blog will be dedicated to energy. It is a field where legal, economic, and political aspects are inextricably intertwined, where regulatory changes mean not only new forms but revised business strategies, and where the legal structure of a project can determine its economic viability. Energy is my daily work and, frankly, a matter of the heart.
Read, ask questions, be inspired. And if anything here changes how you view your next transaction or decision – my blog will have fulfilled its purpose.
